IMPORTANT NOTICE: By completing your payment, making a partial instalment, delivering raw materials/packaging to our laboratory, or instructing us in writing to proceed with sourcing or development, you explicitly confirm that you have read, understood, and agreed to these Terms of Service in full.

These Terms of Service (“Terms”) govern your access to and use of the services provided by Elvoria Cosmetics (“we,” “us,” or “our”), including but not limited to custom formulation development, regulatory assistance, pre-made formulation sales, and documentation review services. By engaging our services or purchasing any formulations, you agree to be bound by these Terms in full.

1. Services Offered

We provide the following professional services:

  • Custom Formulation Development
  • Packaging & Label Review
  • Claims Regulatory Review
  • Pre-Made Formulation Sheets
  • Formulation Review and Correction
  • Microbial Testing
  • Stability Testing

Each service may include supporting documentation, intellectual property transfer, compliance summaries, and claims guidance depending on the package selected.

1A. Contractual Binding and Acceptance by Conduct

A legally binding contract is established between Elvoria Cosmetics Formulations and the Client upon the occurrence of any of the following actions:

  • Payment: Making a full or partial payment on any invoice or payment plan instalment.

  • Material Supply: Delivering physical raw materials, packaging, or custom ingredients to our laboratory premises.

  • Instruction to Proceed: Expressing explicit written authorisation via email, text, or messaging application to begin project sourcing, formulation writing, sample preparation, or production scheduling.

Note: Payment of any single invoice incorporates these master Terms across the entire project lifecycle, including all prior and subsequent project phases, revisions, and connected orders.

2. Intellectual Property and Copyright

  • All documents, formulations, methods, and educational content remain the intellectual property of Elvoria Cosmetics until full payment has been received.

  • You may not reproduce, distribute, resell, or claim any part of our content or materials as your own.

  • Any instance of plagiarism, unauthorised use, or distribution will result in immediate termination of service and may lead to legal action.

  • All formulations and materials are protected under copyright law.

3. Pre-Made Formulation Sheets

  • All pre-made formulations are sold “as-is” and are strictly non-refundable.

  • These are intended solely for personal or internal business use.

  • Redistribution, rebranding, or resale without prior written consent is strictly prohibited.

  • All testing, including stability testing, preservative efficacy testing, and microbial testing, remains the sole responsibility of the purchaser.

4. Formulation Review and Correction

  • This service involves a professional review and correction of an existing formulation submitted by the client.

  • It does not include the creation of a new formulation unless previously agreed upon in writing.

  • If the formulation is found to be unsafe or non-viable, recommendations will be provided. It remains the client's responsibility to determine next steps.

5. Client Responsibilities and Non-Responsiveness

By purchasing our services, you agree to provide complete, timely, and accurate information and respond to correspondence within seven (7) business days.

Failure to communicate or respond within this timeframe may result in formal project cancellation. In such cases, a 70% non-cooperation fee will apply to cover reserved pipeline capacity, administrative overheads, and labor already allocated.

6. Payments, Interest, and Fee Schedule

  • All payments are to be made in Australian Dollars (AUD) and are due upfront unless otherwise agreed in writing. No work will commence until payment has been received in full.

  • Late Payments: Outstanding commercial invoices past their stated due date will incur interest calculated daily at the current maximum rate prescribed under the Penalty Interest Rates Act 1983 (Vic) plus reasonable debt collection recovery costs.

  • The Chronological Cancellation Framework: If you request a project cancellation due to a change of mind after payment has been completed, your refund eligibility is determined strictly by the timeline of your request:

Within 14 Business Days: A 35% non-refundable booking and administration fee will be retained to cover immediate onboarding, initial research, and account initialisation.

Between 15 and 20 Calendar Days: A 50% non-refundable labor and time allocation fee will apply to cover your reserved laboratory pipeline space and initial chemistry assessment hours.

After 20 Calendar Days: For long-term projects cancelled more than 20 calendar days after payment, refunds are strictly assessed on a pro-rata basis.

Elvoria Cosmetics bills labor at a flat rate of $60.00 AUD per hour. We reserve the right to retain up to 100% of the total contract value based on the total accumulated hours expended on digital research, formulation notes, data analysis, lab trials, and raw materials procured up to the date written cancellation notice is received.

7. Project Timelines and Revisions

  • Turnaround times will be provided at the time of booking and may vary depending on complexity and client responsiveness.

  • Clients are entitled to up to two (2) rounds of revisions within 14 days of delivery unless otherwise specified. Revisions requested past the 14-day window or outside the initial brief will incur separate formulation charges.

  • Projects left inactive for over 30 days without notice will be considered cancelled, and no refund will be issued.

  • Tender of Performance: Once Elvoria Cosmetics Formulations notifies the client that a formulation sheet, specification document, or project phase is complete, the service is legally deemed "delivered". A client's subsequent refusal to accept, download, or take physical possession of the finalized documentation does not alter their payment obligations or clear outstanding balances.

8. No Guarantee of Regulatory Approval

  • While our regulatory support is based on current, publicly available data, we do not guarantee approval from regulatory bodies.

  • Clients are solely responsible for product testing, safety assessments, and compliance with their country's regulations.

  • We accept no liability for regulatory action, product bans, or customer complaints related to the final product.

9. Custom Formulation Development Samples


Upon booking a custom formulation development service, you will receive up to three (3) complimentary samples: one initial sample and up to two (2) additional samples if formulation adjustments are necessary. Should further samples be requested beyond the three (3) complimentary samples, additional fees will apply. These fees will be based on the cost of ingredients, as well as the time and labour required for preparation.

10. Refunds and Specific Service Limitations

  • Work Commencement Rule: As a highly specialised service provider, time and laboratory allocations are reserved immediately upon booking.

No refunds of any kind will be issued once physical laboratory work, formulation research, or document correction has actively commenced on your file, regardless of the calendar days elapsed since payment.

  • Pre-made Items: All pre-made formulations, digital downloads, and electronic documents are final and strictly non-refundable once delivered.

  • Post-Finalisation Dissatisfaction: If dissatisfaction is expressed after final documentation packages have been compiled and delivered, and was not communicated via written feedback during the iterative milestone phases, we reserve the right to refuse a refund in full.

  • Unfulfillable Parameters: If a project cannot be completed safely due to insufficient client information or restricted/unsafe submitted ingredients, a refund will be issued minus a 35% time and labour assessment fee.

  • Breach of Contract: If a client breaches our development framework, communication guidelines, or confidentiality agreement, Elvoria Cosmetics reserves the right to immediately terminate services. In these instances, a 60% breach fee applies to cover allocated pipeline time and damages.

  • All refund or cancellation requests must be submitted formally in writing to sherrie@elvoria.com.au.

11. Limitation of Liability

  • Elvoria Cosmetics Formulations is not liable for any direct, indirect, or incidental damages arising from the use or misuse of our services or documents.

  • You are solely responsible for product safety, labelling, manufacturing, and legal compliance.

  • We accept no responsibility for regulatory enforcement or customer complaints related to your end products.

Payhip Membership Terms

  • These Terms of Service apply to all memberships, content, and services offered through the Payhip account of Elvoria Cosmetics. By subscribing to any membership tier, you acknowledge that you have read, understood, and agreed to these terms in full.

 

Payhip Membership

These Terms of Service (“Terms”) apply to all memberships, content, and services offered through the Payhip account of Elvoria Cosmetics (“we,” “our,” “us”). By subscribing to any membership tier, you (“member,” “you,” “your”) acknowledge that you have read, understood, and agreed to the following:

1. Membership Tiers

Membership is structured into tiers, each offering specific benefits as outlined on our Payhip page. By selecting a tier, you gain access only to the benefits described for that tier. Higher-tier content is not included unless you upgrade your membership.

2. Payments and Renewals

All memberships are billed through Payhip's payment system. Payments are processed monthly (or as otherwise stated by Payhip) and renew automatically unless cancelled before the next billing cycle. We do not manage payment processing directly. Any issues relating to billing or payment processing must be addressed through Payhip support.

3. Refunds and Cancellations

All membership payments are non-refundable. You may cancel your membership at any time through your Payhip account settings. Cancellation will stop future billing but will not refund past payments. Access to membership benefits will remain active until the end of your current billing period.

4. Membership Access

Upon successful payment of your selected tier, you will receive access to the benefits associated with that tier. This may include digital downloads, private posts, early releases, or entry into community spaces such as a private Facebook group or other designated platform. Access remains active only while your membership is current and in good standing.

5. Content Availability

Content is delivered according to the membership tier you have selected. Access is limited to the resources, discussions, or services provided for that tier. If you upgrade your membership, you will unlock the content associated with the higher tier. If you downgrade your membership, access to higher-tier content will be removed. Archived content may not always remain available. We reserve the right to update, modify, or adjust membership benefits at any time.

6. Intellectual Property

All content provided through Payhip, including but not limited to documents, digital files, videos, graphics, and written posts, is the intellectual property of Elvoria Cosmetics. This content is provided for personal, educational, or professional use depending on the membership tier. Content may not be copied, reproduced, resold, shared, or distributed without prior written permission.

7. Member Conduct

Members are expected to maintain respectful and professional interactions within community spaces such as private groups or discussion forums. We reserve the right to revoke membership access without refund if a member engages in harassment, abusive behaviour, or conduct that we consider inappropriate.

8. Service Changes

Elvoria Cosmetics reserves the right to modify, expand, or discontinue membership tiers, benefits, or platforms at our discretion. Where possible, reasonable notice will be provided for significant changes. Continued membership after updates are made constitutes acceptance of the revised Terms.

9. Liability and Product Use

All pre-made formulations provided through Elvoria Cosmetics are designed primarily for DIY projects, learning, and formulation practice. If a member chooses to manufacture or sell products based on any formulation provided, it is the member's responsibility and due diligence to ensure that all required testing, regulatory compliance, and safety assessments are completed before sale. Testing requirements may include, but are not limited to:

  • Stability testing
  • Preservative efficacy testing (PET / challenge testing)
  • Microbial testing
  • Safety assessments and regulatory compliance appropriate to the country of sale

Elvoria Cosmetics does not accept liability for products manufactured, distributed, or sold using any formulation provided through our membership content. We make every effort to provide accurate and reliable educational information; however, we do not guarantee specific results, business outcomes, or earnings arising from the use of our materials.

10. Acceptance of Terms

By becoming a member or making any single paid purchases, you acknowledge that you have read, understood, and agreed to these Terms of Service.

Stability Testing Terms of Service

These Terms of Service (“Terms”) apply to all stability testing services provided by Elvoria Cosmetics (“we,” “our,” “us”) to the purchaser (“you,” “your”). By engaging Elvoria Cosmetics for stability testing, you agree to the following:

1. Scope of Service and Regulatory Compliance

  • Stability testing is performed on samples provided or approved by the purchaser under controlled laboratory conditions based on industry practices.

  • Accreditation Status: Elvoria Cosmetics is a private, professional cosmetic formulation and testing laboratory and is not an ISO/NATA accredited testing facility.

  • Regulatory Validity: Under Australian cosmetic standards and Therapeutic Goods Administration (TGA) regulations, a testing facility does not require formal accreditation for cosmetic stability, shelf-life verification, and microbial data to be legally accepted for compliance purposes. Reports constitute a valid, professional, and approved technical record of product stability under industry-recognised testing protocols and are acceptable to consumer law and cosmetic authorities during compliance reviews.

  • Results are supplied in a written report for informational and product development purposes only, and do not replace final independent commercial safety assessments required by governing authorities.

2. Purchaser Responsibilities

  • You are responsible for ensuring that product samples provided are representative of your intended batch.

  • You remain fully responsible for ensuring regulatory compliance of your product, packaging, and marketing claims.

  • Elvoria Cosmetics does not certify a product as “market ready” or “approved” based on stability testing results.

3. Payment and Cancellation

  • Stability testing fees must be paid in full prior to commencement.
  • A 60% non-refundable service and labour fee is included in the total price.
  • If cancelled after two (2) hours of payment, this fee will be retained.

4. Limitation of Liability

  • Elvoria Cosmetics makes no guarantees regarding the shelf life or market approval of your product.

  • We are not liable for any financial loss, damages, or claims that may arise from your use or interpretation of stability testing results.

  • Our liability is strictly limited to the value of the services provided.

Manufacturing Terms of Service

These Terms of Service (“Terms”) apply to all cosmetic manufacturing services provided by Elvoria Cosmetics (“we,” “us,” “our”) to the purchaser (“you,” “your”). By placing an order with us, you acknowledge and agree to the following:

1. Lead Times

Manufacturing lead times vary depending on batch size and ingredient and packaging availability:

  • 1–4 kg: approximately 3 weeks
  • 5–8 kg: approximately 4 weeks
  • Over 8 kg: approximately 6–8 weeks

These timeframes are estimates only. Orders may be completed earlier or later depending on supplier delays, shipping times, and other factors outside our control.

2. Stability and Product Testing

Elvoria Cosmetics does not conduct stability, preservative efficacy (PET), compatibility, or safety testing as part of its manufacturing service. All required testing must be arranged and paid for by the purchaser. It is the purchaser's sole responsibility to ensure that the product is fully tested, compliant, and safe for market release in accordance with all applicable local and international regulations.

3. Payment Terms, Cancellation Policy & Asset Procurement

A 50% non-refundable labour and service fee is built into the total payment.

  • If you cancel an order after two (2) hours of making payment, this 50% will be retained to cover immediate inventory allocation, custom raw material ordering, and manufacturing queue locking.

  • Material Procurement Liability: Once customised ingredients, raw materials, or specialty packaging have been ordered or allocated by Elvoria Cosmetics for a project, the client assumes 100% financial liability for those hard costs. In the event of a cancellation, the total cost of these custom materials is completely non-refundable and will be added to the account deficit.

  • Production will not commence until full payment has been received.

3A. Statutory Notice of Uncollected Goods & Storage Fees

  • Collection Deadline: Upon notification that a manufacturing run or raw material inventory is ready for dispatch, the client has twenty-eight (28) business days to arrange collection or organise courier transit at their own expense.

  • Abandonment: Pursuant to the Australian Consumer Law and Fair Trading Act 2012 (Vic), goods not collected within 28 business days will be formally deemed "Uncollected Goods". We reserve the absolute right to sell, dispose of, or destroy uncollected assets to recover outstanding debts, material costs, and operational losses.

  • Storage and Insurance: A storage and maintenance fee of $50.00 per week will automatically accrue for any client inventory, raw materials, or finished products remaining on the laboratory premises past the specified collection notice date.

  • Relocation Charges: If laboratory operations are relocated, any uncollected goods remaining past their deadline will be transported at the client’s expense. Relocation fees will be calculated based on heavy vehicle usage, distance traveled, and handling labour, and will be added to the client's total account balance.

4. Claims and Marketing Responsibility

Elvoria Cosmetics manufactures strictly to the agreed formulation and specifications. We do not authorise, review, or endorse any claims made about the finished product. The purchaser accepts full responsibility for ensuring that:

  • All marketing and labelling claims are truthful, accurate, and compliant with applicable laws.

  • All advertising and promotions meet the requirements of relevant regulatory authorities.

Elvoria Cosmetics will not be held liable for any fines, damages, regulatory action, or loss of income arising from misleading, false, or non-compliant claims made by the purchaser.

5. Limitation of Liability

To the fullest extent permitted by law, Elvoria Cosmetics shall not be liable for:

  • Loss of profits, sales, or wages

  • Indirect or consequential damages of any kind

  • Any issue arising from the purchaser's storage, handling, distribution, or resale of the product

Our liability is strictly limited to the value of the services provided.

6. Formulation Responsibility and Indemnity

The purchaser (concept developer) acknowledges that the formulator's role is primarily limited to formulation development, except where manufacturing services are expressly agreed under Clause 7, and does not extend to storage, distribution, or final product use. The purchaser assumes full responsibility for ensuring that all products are:

  • Safe
  • Stable
  • Compliant
  • Suitable for their intended use prior to being placed on the market

To the fullest extent permitted by law, Elvoria Cosmetics shall not be held liable for any loss, damage, claim, liability, injury, or regulatory action arising from:

a) Failure to conduct appropriate testing, including PET, microbial, or stability testing

b) Inadequate or incomplete testing performed by or on behalf of the purchaser

c) Manufacturing processes, batch variations, or scale-up changes

d) Storage, handling, transport, or environmental conditions after delivery

e) Modification of the formulation by the purchaser or any third party

f) The commercial use, distribution, or sale of the product

The purchaser agrees to indemnify and hold harmless Elvoria Cosmetics against any and all claims, demands, damages, costs, or expenses (including legal costs) arising from:

  • The commercial use of the formulation
  • Any failure to comply with regulatory or testing requirements

7. Manufacturing Prior to Testing Completion

Where Elvoria Cosmetics agrees to manufacture, batch, or supply product prior to the completion of preservative efficacy testing (PET), microbial testing, and stability testing, such manufacturing is performed strictly at the request and direction of the purchaser. The purchaser acknowledges that:

  • Any product manufactured without completed testing is considered a pre-market or pilot batch
  • The product may not be fully validated for stability, safety, or shelf life

By proceeding, the purchaser accepts all risks associated with the product, including but not limited to:

  • Microbial contamination
  • Instability
  • Reduced shelf life
  • Product failure

To the fullest extent permitted by law, Elvoria Cosmetics shall not be held liable for any loss, damage, claim, or injury arising from the manufacture, supply, or use of such untested or partially tested products.

The purchaser further acknowledges that it is their responsibility to ensure that any product supplied to market complies with all applicable regulatory requirements, including safety and testing obligations.

The purchaser confirms that any decision to proceed to market without completed testing is made independently of the formulator's recommendation.

8. Acceptance of Terms

By engaging Elvoria Cosmetics for manufacturing services, you confirm that you have read, understood, and agreed to these Terms of Service.These Terms constitute the entire agreement between you and Elvoria Cosmetics.

9. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria (VCAT).

10. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time.
